These Terms and Conditions ("Terms") govern your use of the Thanh Tung Consulting website at thanhtungsves and any consulting services you engage us for. By accessing our website or entering into a service agreement with us, you confirm that you have read, understood, and accept these Terms.

1. Definitions
"We / Us / Our" refers to Thanh Tung Consulting, registered and operating at 63 Le Thanh Ton Street, District 1, Ho Chi Minh City, Vietnam.
"You / User / Client" refers to any individual or company accessing our website or engaging our professional services.
"Services" refers to business consulting engagements including Team Effectiveness Assessment, Growth Capital Advisory, and Enterprise Risk Management Setup, as described on our website.
"Agreement" refers to any written service agreement, proposal, or statement of work signed between us and a client.
"Deliverables" refers to written reports, scorecards, manuals, templates, or other tangible outputs produced in the course of an engagement.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that:
- You are at least 18 years of age and have legal capacity to enter into agreements.
- If acting on behalf of a company, you have authority to bind that company to these Terms.
- You will use our website and services only for lawful purposes.
3. Service Description
Thanh Tung Consulting provides professional business consulting services in Vietnam. Our current service offerings are:
Team Effectiveness Assessment
A two-week engagement evaluating team dynamics, role clarity, communication, and decision-making. Deliverable is a written scorecard with improvement actions. Fee: 3,700,000 VND.
Growth Capital Advisory
A three-to-four-week strategic advisory engagement for companies preparing to raise capital. Covers funding source comparison, investor readiness, and fundraising timeline design. Does not include broker services. Fee: 10,400,000 VND.
Enterprise Risk Management Setup
A five-to-six-week engagement designing a complete ERM system, including risk taxonomy, appetite statement, monitoring dashboard, and training for risk champions. Deliverable is a full ERM manual with templates. Fee: 17,300,000 VND.
Service availability may vary. Geographic service delivery is primarily within Vietnam; remote delivery may be available by arrangement.
4. User Responsibilities
When using our website, you agree not to:
- Attempt to access systems or data you are not authorized to access.
- Submit false or misleading information through contact forms.
- Engage in any conduct that interferes with other users' use of the website.
- Reproduce, distribute, or commercially exploit website content without written permission.
As a client, you also agree to provide accurate information necessary for service delivery, maintain confidentiality of any proprietary methods shared during an engagement, and make payment within agreed timelines.
5. Intellectual Property
All website content — including text, graphics, logos, and structural design — is owned by or licensed to Thanh Tung Consulting. You may not reproduce or distribute this content without prior written consent.
Deliverables produced for a client during an engagement are transferred to the client upon full payment of fees. However, Thanh Tung Consulting retains the right to use underlying frameworks, methodologies, and templates across other engagements.
You retain ownership of all business information and documentation you share with us. We use it only for the purpose of delivering the agreed service.
6. Payment Terms
- Fees are stated in Vietnamese Dong (VND) and are payable as specified in the written service agreement.
- A deposit may be required before work commences; the balance is due upon delivery of the final deliverable unless otherwise agreed.
- Accepted payment methods include bank transfer to our nominated account. Details are provided in the service agreement.
- If the scope of work changes materially after agreement is signed, revised fees will be discussed and confirmed in writing before additional work proceeds.
- Refunds for work already commenced are assessed on a case-by-case basis and at our discretion. Work not yet started may be refunded in full minus any processing costs.
7. Confidentiality
Both parties acknowledge that confidential business information may be shared during an engagement. We commit to:
- Not disclosing your confidential business information to third parties without your consent.
- Using your information only for the purpose of delivering the agreed service.
- Applying reasonable security measures to protect information shared with us.
Confidentiality obligations survive the conclusion of any engagement for a period of three years.
8. Disclaimers
Our website is provided on an "as is" basis. We make no representations about the accuracy, completeness, or timeliness of website content.
Consulting services represent our professional judgment based on the information available at the time of engagement. Business outcomes depend on many factors beyond our control. We do not make representations about specific financial results, revenue targets, or investment outcomes arising from our advice.
Our services do not constitute legal, tax, or licensed financial advice. Where such advice is needed, we recommend engaging a licensed professional.
9. Limitation of Liability
To the extent permitted by Vietnamese law, our total liability to you arising from any engagement or website use shall not exceed the fees paid by you for the specific service in question.
We are not liable for indirect, consequential, or incidental losses including loss of profit, loss of revenue, or business interruption arising from use of our services or website.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under Vietnamese law.
10. Termination
Either party may terminate a service engagement by providing written notice. Upon termination:
- You are responsible for fees for work completed up to the termination date.
- We will provide work-in-progress materials in a reasonable format within 14 days.
- Confidentiality and intellectual property clauses survive termination.
11. Dispute Resolution & Governing Law
These Terms are governed by the laws of the Socialist Republic of Vietnam. In the event of a dispute, the parties agree to first attempt resolution through direct negotiation in good faith.
If negotiation does not resolve the matter within 30 days, disputes shall be submitted to the competent courts of Ho Chi Minh City, Vietnam.
For matters involving consumer protection, the relevant authority is the Department of Industry and Trade of Ho Chi Minh City.
12. General Provisions
Entire Agreement: These Terms, together with any signed service agreement, constitute the full agreement between the parties regarding the subject matter covered.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
No Waiver: Our failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
Changes to Terms: We may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of our website or services after that date constitutes acceptance.
